Knowledge Sharing Lunch Talks – RecapLatest Valuation Compliance for Corporate Transactions
On 11 September 2018 and 10 October 2018 we held two sharing lunch talks, both in Hopewell Centre, Wanchai. During the 2nd talk on the topic “Latest Valuation Compliance for Corporate Transactions”, our Ross Wang reminded the audiences the expectation of SFC on the listed companies upon carrying out valuation assignments for corporate transaction.
Ross shared his experience on handling the enquiries from the HKEx and SFC. Below is a summary of situations when a professional business valuer is particularly important from Ross’s presentation:
If the company directors do not possess sufficient experience;
If the target business is new or the information requires professional scrutiny;
If the investment size is material;
If higher risk or complexity involved; and/or
If any company director has potential conflict.

我司於9月11日以及10月10日在香港灣仔的合和中心舉辦了兩場知識分享午餐講座。其中，第二次講座的主題為“公司交易的最新評估合規”，我們的主講人，華坊商業估值部主管汪心浩先生，就該主題向觀眾講解了證監會對於上市公司在開展公司交易評估時的合規要求。
同時，汪先生就如何處理並回答來自香港交易所以及證監會的提問，分享了他的經驗。我們根據本次講座總結出在以下幾種情況中，一個專業的商業評估師將扮演重要的角色：
公司董事不具有充足的相關經驗；
被評估業務屬於新興行業或者其資訊需要專業的審視及調查；
